Terms of Service

Section 1: Agreement

By installing, accessing, or using CatalogBot (the "Service"), you agree to these Terms of Service ("Terms") and to our Privacy Policy. If you do not agree, do not install or use the Service.

These Terms are a binding agreement between you (or the business you represent) and ESPL ("we", "us", or "our"). If you use the Service on behalf of a business, you confirm that you have authority to bind that business.

Section 2: The Service

CatalogBot is a Shopify application that uses artificial intelligence to read supplier and product catalog files (PDF and CSV) and create or update products and variants in your Shopify store. You review the results in the app before anything is published.

Section 3: Eligibility & Account

You must be at least 18 years old, have an active Shopify store, and comply with Shopify's Terms of Service. Access to CatalogBot is provided through your Shopify account. You are responsible for keeping your Shopify credentials secure and for all activity under your account. Tell us promptly at legal@catalogbot.io if you suspect unauthorised use.

Section 4: Plans, Credits & Billing

4.1 Plans

The Free plan includes a one-time allowance of 50 credits with no time limit. It does not renew monthly and cannot be topped up. We may change or discontinue the Free plan at any time.

4.2 Credits

Credits are deducted per page or file processed, based on the file's format and complexity. The exact number of credits is shown before you confirm any import, and you may cancel at no cost before confirming. No credits are deducted if a file cannot be processed before extraction begins.

Paid plan credits are allocated each billing period and do not roll over. Top-up credits are available on paid plans only and expire at the end of the billing period in which they are purchased.

4.3 Billing, Cancellation & Refunds

All charges are billed through Shopify's billing system in US dollars. Paid plans renew automatically each month until cancelled. You can cancel by downgrading in the app or by uninstalling CatalogBot, which cancels your subscription through Shopify. We will give at least 30 days' notice of any price change.

Charges are non-refundable, including for unused credits or partial billing periods, except where required by law. If you believe credits were deducted because of a technical error on our side, contact us within 14 days and we will investigate and restore credits where appropriate.

Section 5: Your Files & AI Output

5.1 Ownership and Licence

You keep all rights to the files you upload and the product data in them. You grant us a limited licence to process those files solely to provide the Service to you. We do not use your files or product data to train AI models. Uploaded files are deleted within 30 days, as described in our Privacy Policy.

5.2 Your Responsibilities

You confirm that you have the right to upload each file, that it does not infringe anyone's rights or contain unlawful or malicious content, and that you have any consents needed for personal data it may contain.

5.3 Review Before Publishing

AI extraction can contain errors. You are responsible for reviewing all products and variants before publishing them to your store. We are not responsible for errors, omissions, or inaccuracies in extracted data or for the consequences of publishing it.

Section 6: Acceptable Use

You must not:

• Upload counterfeit, misleading, or infringing product information;
• Attempt to manipulate or circumvent the credit system;
• Reverse-engineer, scrape, or interfere with the Service or its security;
• Use the Service for any unlawful purpose;
• Resell or sublicense access to the Service without our written consent.

Section 7: Our Intellectual Property

The Service, including its software, interface, and the CatalogBot name and logo, belongs to ESPL. These Terms grant you only a limited, non-exclusive, non-transferable right to use the Service while your account is active. If you send us feedback, we may use it without obligation to you.

Section 8: Shopify & Third Parties

When you install CatalogBot you authorise it, through Shopify's API, to read and write products and variants in your store according to your instructions. CatalogBot does not access your orders or customer records.

CatalogBot is not affiliated with or endorsed by Shopify Inc. The Service relies on third-party providers (such as Shopify, hosting, and AI processing providers). We are not responsible for outages or changes in those services.

Section 9: Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify ESPL against third-party claims arising from your files, your use of the Service, or your breach of these Terms.

Section 10: Suspension & Termination

You may stop using the Service at any time by uninstalling CatalogBot. We may suspend or terminate your access if you breach these Terms, if your Shopify store is closed or suspended, if required by law, or if your use puts the Service or other users at risk. On termination, unused credits are forfeited and your data is deleted as described in our Privacy Policy. Sections that by their nature should survive termination (including 5.3, 7, and 9) will survive.

Section 11: Changes, Governing Law & Contact

We may update these Terms. For material changes we will give at least 30 days' notice by email or in the app. Continued use after the effective date means you accept the updated Terms.

These Terms are governed by the laws of India. The courts of India have exclusive jurisdiction over any dispute arising from these Terms or the Service, without limiting any mandatory consumer rights you have where you live.
